Terms of Service
Last updated: 17 October 2026
These Terms of Service (“Terms”) govern your access to and use of Rebban, the online workspace available at app.rebban.com and related sites, apps, and services (the “Service”). By creating an account or using the Service, you agree to these Terms.
1. Agreement
If you use the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity. If you do not agree to these Terms, do not use the Service.
2. Who we are
The Service is provided by:
ESTRELANTIQUADA, UNIPESSOAL LDA
NIPC: 518597938
VAT: PT518597938
Rua Dom Afonso Henriques 132, 4950-854 Monção, Portugal
Email: hello@rebban.com
In these Terms, “Rebban”, “we”, “us”, and “our” mean the company above.
3. The Service
Rebban is a freelancer and small-studio workspace that may include tools to manage clients, create and send proposals, track time, create and send invoices, host client proposal and payment pages, automate follow-ups and reminders, connect email accounts (such as Gmail or Outlook) for sending, and collect payments via Stripe. Features may change over time.
The Service is a software tool only. We do not provide legal, tax, accounting, or professional advice. You are solely responsible for the content of your proposals, invoices, contracts with clients, tax obligations, and compliance with applicable law.
4. Accounts and eligibility
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials and for activity under your account. Notify us promptly of any unauthorised use.
If you create or join an organisation or workspace, you are responsible for the people you invite and for data they enter. You must be legally able to enter into a binding contract in your jurisdiction.
5. Subscriptions and billing
Access to the Service may begin with a free trial and then require a paid subscription (currently “Pro”), billed through Stripe. Prices, intervals (monthly or yearly), and plan features are shown in the Service at checkout or in billing settings and may change with notice for future periods.
Subscriptions renew automatically until cancelled. You authorise us (via Stripe) to charge the payment method on file for recurring fees and applicable taxes. You can cancel or manage billing in the Service or via the Stripe customer portal where available. Cancellation takes effect at the end of the then-current billing period unless otherwise stated.
If payment fails or your subscription is past due, we may suspend or limit access until payment is resolved. Except where mandatory EU or Portuguese consumer law requires otherwise, fees are non-refundable. If you are a consumer within the meaning of applicable law, nothing in these Terms limits your mandatory statutory rights, including any cooling-off rights that may apply to distance contracts.
6. Your content and client data
You retain ownership of content you submit to the Service, including client details, proposals, invoices, time entries, files, and related materials (“Customer Content”).
You grant us a worldwide, non-exclusive licence to host, store, process, transmit, and display Customer Content solely as needed to provide, maintain, secure, and improve the Service, and to comply with law. You represent that you have all rights and consents needed to upload Customer Content and to process personal data of your clients and contacts in connection with the Service.
7. Email and third-party integrations
Optional integrations (including Gmail, Outlook, and Stripe) are subject to those providers’ terms and privacy policies. When you connect an integration, you authorise us to use access tokens and related data only to provide the features you enable (for example, sending email or processing payments).
We are not responsible for outages, policy changes, or acts of third-party providers. Disconnecting an integration may disable related features.
8. Payments to you (Stripe Connect)
If you enable client payments, funds are processed by Stripe (including Stripe Connect where applicable). Payment relationships are between you, your clients, and Stripe. Rebban is not a bank, payment institution, or escrow agent, and does not hold client funds as a custodian.
You remain responsible for the accuracy of invoices, pricing, taxes, refunds you offer your clients, and disputes with your clients. Stripe fees and payout timing are governed by Stripe’s terms.
9. Acceptable use
You must not:
- use the Service for unlawful, fraudulent, or harmful purposes;
- send spam or unsolicited bulk communications in violation of applicable law;
- upload malware or attempt to disrupt or gain unauthorised access to the Service or related systems;
- reverse engineer, scrape at scale, or resell access to the Service except as we expressly allow;
- misrepresent your identity or affiliation, or infringe others’ intellectual property or privacy rights.
We may investigate and suspend or terminate accounts that violate this section.
10. AI features
Where the Service offers AI-assisted drafting or similar features, outputs may be incomplete, inaccurate, or unsuitable for your situation. You must review and edit all AI-generated content before sending it to clients or relying on it. You remain solely responsible for final content and for any decisions you make based on AI output.
11. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features. For material adverse changes to paid features, we will provide reasonable notice where practicable (for example by email or in-app notice).
12. Suspension and termination
You may stop using the Service at any time and may delete your account where self-service deletion is available in the product. We may suspend or terminate access for breach of these Terms, non-payment, risk to the Service or others, or if we discontinue the Service.
Upon termination, your right to use the Service ends. We may delete or anonymise Customer Content after a reasonable period, subject to legal retention needs and any export tools we make available. Provisions that by nature should survive (including ownership, payment obligations accrued, disclaimers, liability limits, and indemnity) will survive termination.
13. Disclaimer of warranties
To the fullest extent permitted by Portuguese and applicable EU law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that data will never be lost.
Nothing in these Terms excludes liability that cannot be excluded under mandatory law.
14. Limitation of liability
To the fullest extent permitted by law, Rebban and its directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Service or these Terms, whether in contract, tort (including negligence), or otherwise.
Our aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim, or (b) one hundred euros (€100), except where mandatory law requires otherwise.
These limits do not apply to liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under Portuguese law. If you are a consumer, your mandatory rights remain unaffected.
15. Indemnity
You will defend and indemnify Rebban against claims, damages, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, your contracts or disputes with clients, your violation of these Terms, or your infringement of third-party rights, except to the extent caused by our wilful misconduct or gross negligence.
16. Privacy
We process personal data as described in our Privacy Policy and as required by the GDPR and Portuguese data protection law. For privacy or data subject requests, email hello@rebban.com.
17. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. For material changes, we may also notify you by email or in-app notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms, except where mandatory law requires your explicit consent.
18. Governing law and disputes
These Terms are governed by the laws of Portugal, without regard to conflict-of-law rules. Subject to mandatory consumer protections (including your right to bring proceedings in your place of residence where applicable), the courts of Portugal have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
